Our services include: Automated Review Requests: We send professionally crafted text and email invitations, prompting satisfied customers to share their experiences on Google, social media, and other leading review sites. Our system uses proven messaging scripts and a strategic cadence, so you gather more authentic feedback with minimal effort. Reputation Monitoring & Insights: We track reviews and brand mentions across multiple platforms, providing you with real-time dashboards and alerts. This gives you a clear, consolidated view of your reputation, helping you address potential issues before they escalate. Professional Review Responses: Our team can respond to reviews on your behalf—thanking positive reviewers and addressing concerns from negative ones. This prompt, personalized engagement shows customers you value their feedback and care about their experience. Repurposing Reviews for Marketing: We take your best reviews and transform them into shareable social media content, highlight reels, and dynamic website widgets. This social proof helps drive more leads by showcasing your high-quality service where potential customers will see it. System Integrations: Our platform easily connects with your CRM, Google Business Profile, and social media accounts, allowing seamless automation and syncing of customer data. These Legal Terms constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you"), and Orenda Enterprises LLC, concerning your access to and use of the Services. 1. OUR SERVICES
The information provided when using the Services is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Services from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.
2. DEFINITIONS
Orenda Enterprises LLC (doing business as Gain Reviews) (also referred to as “Gain Reviews,” “Company,” “we,” or “us”): The provider of the review request and reputation solicitation services described in this agreement.
Client (also referred to as “you” or “Customer”): The business, organization, or individual that has contracted with Gain Reviews to use the Services to request reviews from its own customers.
End Customer (or “Customer of Client”): An individual or entity who is a customer, patron, or user of the Client’s products or services, and whose contact information is provided to Gain Reviews for the purpose of sending review requests.
Services: The review request services and related features provided by Orenda Enterprises LLC under these Terms.
Applicable Laws: All laws, statutes, regulations, and rules applicable to the Client, Gain Reviews, and the handling of End Customer data and communications under these Terms.
3. SCOPE OF SERVICES
Review Request Communications: Gain Reviews will, on the Client’s behalf, send out review request communications to the Client’s End Customers via SMS/text messages, emails, or other electronic messages.
Integrations for Automation: The Services may integrate with third-party platforms such as your Google Business Profile, social media accounts, and CRM systems to streamline and automate the review request process.
Default Settings and Customization: The Service provides pre-approved message scripts and a recommended messaging cadence. The Client agrees that these default settings will be used unless the Client chooses to modify or customize them.
4. INTELLECTUAL PROPERTY RIGHTS
Our intellectual property
We are the owner or the licensee of all intellectual property rights in our Services, including all source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics in the Services (collectively, the "Content"), as well as the trademarks, service marks, and logos contained therein (the "Marks"). Our Content and Marks are protected by copyright and trademark laws and treaties in the United States and around the world. The Content and Marks are provided in or through the Services "AS IS" for your internal business purpose only.
Your use of our Services
Subject to your compliance with these Legal Terms, we grant you a non-exclusive, non-transferable, revocable license to access the Services and to download or print a copy of any portion of the Content to which you have properly gained access, solely for your internal business purpose. Any breach of these Intellectual Property Rights will constitute a material breach of our Legal Terms and your right to use our Services will terminate immediately.
Your submissions and contributions
By sending us Submissions and/or posting Contributions through any part of the Services, you are solely responsible for your content and expressly agree to reimburse us for any and all losses that we may suffer because of your breach of (a) this section, (b) any third party’s intellectual property rights, or (c) applicable law.
5. USER REPRESENTATIONS
By using the Services, you represent and warrant that: (1) all registration information you submit will be true, accurate, current, and complete; (2) you will maintain the accuracy of such information; (3) you have the legal capacity and you agree to comply with these Legal Terms; (4) you are not a minor; (5) you will not access the Services through automated or non-human means; (6) you will not use the Services for any illegal or unauthorized purpose; and (7) your use of the Services will not violate any applicable law or regulation.
6. USER REGISTRATION
You may be required to register to use the Services. You agree to keep your password confidential and will be responsible for all use of your account and password. We reserve the right to remove, reclaim, or change a username you select if we determine it is inappropriate.
7. PURCHASES AND PAYMENT

You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Services. Sales tax will be added to the price of purchases as deemed required by us. All payments shall be in US dollars.
8. SUBSCRIPTIONS
Billing and Renewal Your subscription will continue and automatically renew unless canceled. You consent to our charging your payment method on a recurring basis without requiring your prior approval for each recurring charge.
Cancellation You can cancel your subscription at any time by logging into your account. Your cancellation will take effect at the end of the current paid term. If you have any questions, please email us at [email protected].
Fee Changes We may, from time to time, make changes to the subscription fee and will communicate any price changes to you in accordance with applicable law.
9. CLIENT RESPONSIBILITIES
Obtain and Maintain Consent: You must have explicit permission from each End Customer before Gain Reviews sends them any SMS or email. You are responsible for compliance with all opt-in requirements under applicable laws like the Telephone Consumer Protection Act (TCPA) and the CAN-SPAM Act.
Compliance with Data Privacy Laws: You are responsible for adhering to all applicable data protection and privacy laws (e.g., GDPR, CCPA, CASL) in relation to End Customer data.
Accurate Data and Lawful Use: You are responsible for the accuracy, quality, and legality of the End Customer contact information you provide.
Maintain Integrations and Access: You are responsible for maintaining the validity of integrations with third-party accounts (e.g., Google Business Profile, CRM).
Regulatory Compliance: It is your duty to ensure that your use of the Services complies with all Applicable Laws. You are strongly encouraged to consult your own legal counsel.
10. MESSAGING CONTENT & AUTOMATION
Authorization to Send on Client’s Behalf: You authorize Gain Reviews to send communications to End Customers on your behalf.
Use of Default Scripts and Cadence: Unless you customize the messaging, you approve the use of our default scripts and timing on your behalf.
Client Customization and Control: You may edit or override the default message content and schedule. You bear full responsibility for any custom message content you create.
Content Responsibility and Disclaimer: You are responsible for the content of all review request messages sent through the Service. Gain Reviews is a neutral transmitter of content.
Opt-Out Handling: While our platform will honor standard opt-out requests (e.g., "STOP" replies), ultimate compliance is your responsibility.
11. DATA USE & STORAGE
Data Processing Role: Gain Reviews acts as a data processor on your behalf. You are the data controller. All End Customer data remains your property.
Purpose of Data Use: Data will be used solely for sending review requests and operating and improving the Service.
Data Security: We will implement and maintain reasonable technical and organizational measures to safeguard personal data.
Data Privacy Compliance: You are responsible for ensuring that the collection and sharing of End Customer data with Gain Reviews complies with all applicable privacy laws.
Data Storage and Retention: Data will be retained for as long as necessary to provide the Services. Upon termination, we will delete or return End Customer personal data, except where retention is required by law.
12. PROHIBITED ACTIVITIES
You may not access or use the Services for any purpose other than that for which we make them available. As a user, you agree not to:
Systematically retrieve data from the Services without written permission.
Trick, defraud, or mislead us or other users.
Circumvent or interfere with security-related features.
Disparage, tarnish, or otherwise harm us or the Services.
Use the Services in a manner inconsistent with any applicable laws or regulations.
Engage in any automated use of the system, such as using scripts or data mining tools.
Use the Services as part of any effort to compete with us.
13. USER GENERATED CONTRIBUTIONS
The Services may invite you to create, submit, post, or distribute content and materials ("Contributions"). Contributions may be viewable by other users. When you create Contributions, you represent and warrant that they do not infringe the proprietary rights of any third party, that you are the creator and owner, and that they are not false, misleading, unsolicited, obscene, or in violation of any law.
14. CONTRIBUTION LICENSE
By posting your Contributions, you grant us an unrestricted, unlimited, irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, worldwide right, and license to host, use, copy, reproduce, and distribute such Contributions for any purpose. This license includes our use of your name, company name, and any trademarks you provide.
15. SOCIAL MEDIA
As part of the functionality of the Services, you may link your account with online accounts you have with third-party service providers ("Third-Party Account"). By granting us access to any Third-Party Accounts, you understand that we may access, make available, and store content from that account. Your relationship with the third-party service providers is governed solely by your agreement with them.
16. THIRD-PARTY WEBSITES AND CONTENT
The Services may contain links to other websites ("Third-Party Websites") and third-party content. We are not responsible for any Third-Party Websites or Third-Party Content. If you decide to access Third-Party Websites or use Third-Party Content, you do so at your own risk.
17. SERVICES MANAGEMENT
We reserve the right, but not the obligation, to: (1) monitor the Services for violations of these Legal Terms; (2) take appropriate legal action against violators; (3) refuse, restrict access to, or disable any of your Contributions; and (4) otherwise manage the Services in a manner designed to protect our rights and property.
18. PRIVACY POLICY

The Services are hosted in the United States. If you access the Services from any other region, you are transferring your data to the United States and you consent to have your data transferred to and processed in the United States.
19. COPYRIGHT INFRINGEMENTS
We respect the intellectual property rights of others. If you believe that any material available on or through the Services infringes upon any copyright you own or control, please immediately notify us using the contact information provided below.
20. TERM AND TERMINATION
Termination by Client (Cancellation): You may terminate your subscription at any time through your account settings or by providing written notice. Termination will be effective at the end of the current billing period.
Termination or Suspension by Gain Reviews: We reserve the right to suspend or terminate your access to the Services for any breach of these Terms, non-payment, unlawful use, or if your use poses a security risk. In most cases, we will provide notice.
Effect of Termination: Upon termination, your right to use the Services will cease. We may delete your data shortly after termination.
No Refunds on Termination for Cause: If your account is terminated due to a violation of these Terms, you will not be entitled to a refund of any prepaid fees.
Survival of Terms: Provisions that by their nature should survive termination (such as indemnification, liability limitations, and governing law) will remain in effect.
21. MODIFICATIONS AND INTERRUPTIONS
We reserve the right to change, modify, or remove the contents of the Services at any time without notice. We will not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Services. We cannot guarantee the Services will be available at all times.
22. SERVICE LIMITATIONS & NO GUARANTEES
No Guarantee of Reviews or Outcomes: We do not and cannot guarantee any specific results from the Services, including the number or content of reviews you will receive.
Not a Reputation Management Service: Our Services are limited to sending review solicitations. We do not monitor, respond to, or manage reviews on your behalf.
Service Availability: We do not guarantee uninterrupted or error-free operation. The Service’s performance can be influenced by third-party systems.
"As-Is" Service and Disclaimer of Warranties: We provide the Services on an “as is” and “as available” basis and disclaim all warranties, express or implied.
23. GOVERNING LAW
These Legal Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Wyoming applicable to agreements made and to be entirely performed within the State of Wyoming, without regard to its conflict of law principles.
24. DISPUTE RESOLUTION
Any legal action of whatever nature brought by either you or us shall be commenced or prosecuted in the state and federal courts located in Sheridan County, Wyoming, and the Parties hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such state and federal courts.
25. CORRECTIONS
There may be information on the Services that contains typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update the information at any time, without prior notice.
26. DISCLAIMER
THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF.
27. LIMITATIONS OF LIABILITY
IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES. OUR LIABILITY TO YOU WILL AT ALL TIMES BE LIMITED TO THE LESSER OF THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE ONE (1) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING OR $500.00 USD.
28. INDEMNIFICATION
You represent and warrant that you will only provide to Gain Reviews contact information of individuals who have given their explicit prior consent to receive communications through the Gain Reviews service. You are solely responsible for ensuring that all individuals have validly consented and have not withdrawn consent.
You agree to defend, indemnify, and hold harmless Gain Reviews, its affiliates, and their respective officers, directors, employees, and agents from any and all claims, liabilities, losses, damages, fines, and expenses (including reasonable attorneys’ fees) arising out of or related to any breach of your obligations, including but not limited to claims arising from: lack of consent, unauthorized data sharing, opt-out violations, or breaches of legal compliance (including the TCPA and CAN-SPAM Act).
29. USER DATA
We will maintain certain data that you transmit to the Services for the purpose of managing the performance of the Services. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit. You agree that we shall have no liability to you for any loss or corruption of any such data.
30. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES
Visiting the Services, sending us emails, and completing online forms constitute electronic communications. You consent to receive electronic communications. YOU HEREBY AGREE TO THE USE OF ELECTRONIC SIGNATURES, CONTRACTS, ORDERS, AND OTHER RECORDS, AND TO ELECTRONIC DELIVERY OF NOTICES, POLICIES, AND RECORDS OF TRANSACTIONS.

Opting Out: If at any time you wish to stop receiving SMS messages from us, simply reply to the text with "STOP.”

33. MISCELLANEOUS
Modifications to Terms: We reserve the right to modify these Terms at any time. We will provide reasonable notice of changes.
Entire Agreement: These Terms constitute the entire agreement between you and Gain Reviews regarding the Services.
Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
No Waiver: No failure or delay by either party in exercising any right under these Terms shall operate as a waiver of that right.
Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely.
Relationship of Parties: The relationship between Gain Reviews and the Client is that of independent contractors.
Force Majeure: We shall not be liable for any delay or failure to perform caused by circumstances beyond our reasonable control.
